Vendor Terms and Conditions

These Vendor Terms and Conditions (“Agreement”) govern the relationship between the Vendor (“Vendor”) and [Website Name] (“Marketplace”, “we”, “us”, or “our”). By registering as a Vendor and listing products on the Marketplace, the Vendor agrees to be bound by these Terms and Conditions.
1. Marketplace Purpose
The Marketplace is a multi-vendor platform dedicated to the promotion and sale of handcrafted jewellery and related artisan products. The Marketplace provides Vendors with an online platform through which they may market and sell their products directly to customers.
2. Vendor Eligibility
To become a Vendor, applicants must:
- Be legally capable of entering into a binding agreement.
- Provide accurate and complete registration information.
- Comply with all applicable laws, regulations, and industry standards.
- Produce or have direct involvement in the creation of the products they sell.
The Marketplace reserves the right to approve, reject, suspend, or terminate any Vendor account at its sole discretion.
3. Handmade Products Requirement
The Marketplace is intended to showcase handcrafted and artisan jewellery.
Permitted Products
Products listed on the Marketplace must:
- Be handmade, handcrafted, artisan-produced, or substantially created by the Vendor.
- Accurately represent the materials, techniques, and craftsmanship involved.
- Meet the quality standards established by the Marketplace.
Prohibited Products
The following may not be listed:
- Mass-produced jewellery.
- Factory-manufactured products purchased for resale.
- Dropshipped products.
- Counterfeit goods.
- Products that infringe upon intellectual property rights.
- Any product deemed unsuitable by the Marketplace.
The Marketplace reserves the right to remove any listing that does not align with its standards or objectives.
4. Product Approval and Quality Standards
The Marketplace owner retains sole and final discretion regarding:
- Whether a product qualifies as handmade.
- Whether a product meets the required quality standards.
- Whether a product is suitable for inclusion on the Marketplace.
The Marketplace may request additional information, photographs, manufacturing details, or supporting documentation to verify compliance.
The decision of the Marketplace owner regarding product acceptance or removal shall be final.
5. Product Listings
Vendors are solely responsible for creating and maintaining their own product listings.
This includes:
- Product descriptions.
- Product specifications.
- Pricing.
- Images and photographs.
- Inventory levels.
- Product variations and options.
All information provided must be accurate, truthful, and kept up to date.
The Marketplace accepts no responsibility for errors, omissions, or inaccuracies in Vendor listings.
6. Pricing and Commission
Vendors are free to determine their own product pricing.
The Marketplace shall charge a commission of 4% (four percent) on the final sale value of each completed transaction.
The commission may be deducted automatically from payments processed through the platform or invoiced separately, depending on the Marketplace’s operating procedures.
The Marketplace reserves the right to modify commission rates upon reasonable notice to Vendors.
7. Order Fulfilment
Vendors are solely responsible for fulfilling all orders received through the Marketplace.
This includes:
- Manufacturing or preparing products.
- Packaging orders.
- Dispatching products.
- Providing tracking information where applicable.
- Communicating with customers regarding order status.
Vendors must fulfil orders within the timeframes specified in their listings.
8. Shipping and Delivery
Vendors are solely responsible for all shipping and delivery arrangements.
This includes:
- Selecting shipping providers.
- Calculating shipping charges.
- Paying shipping costs.
- Managing lost, delayed, or damaged shipments.
- Ensuring products are packaged appropriately for transit.
The Marketplace acts only as a venue connecting buyers and Vendors and bears no responsibility for shipping services or delivery outcomes.
9. Customer Service
Vendors are responsible for handling customer enquiries related to:
- Product information.
- Order status.
- Shipping updates.
- Returns and exchanges.
- Product-related concerns.
Vendors agree to respond to customer communications promptly and professionally.
10. Returns and Refunds
Each Vendor is responsible for establishing and communicating their own return and refund policies, provided such policies comply with applicable consumer protection laws.
The Marketplace reserves the right to intervene in disputes where necessary to protect customers and maintain marketplace standards.
11. Intellectual Property
Vendors retain ownership of their intellectual property rights.
By listing products on the Marketplace, Vendors grant the Marketplace a non-exclusive, royalty-free licence to use product images, descriptions, logos, and related content for marketing, promotional, and operational purposes.
Vendors warrant that they own or have permission to use all content submitted to the Marketplace.
12. Compliance with Laws
Vendors are responsible for complying with all applicable laws, including but not limited to:
- Consumer protection laws.
- Tax obligations.
- Import and export regulations.
- Intellectual property laws.
- Product safety requirements.
13. Limitation of Liability
The Marketplace provides the platform on an “as is” and “as available” basis.
The Marketplace shall not be liable for:
- Lost profits.
- Loss of business opportunities.
- Shipping delays.
- Customer disputes.
- Product defects.
- Vendor misconduct.
- Technical interruptions or website downtime.
The Vendor agrees to indemnify and hold harmless the Marketplace and its owners from any claims, damages, losses, liabilities, or expenses arising from the Vendor’s products, actions, or omissions.
14. Suspension and Termination
The Marketplace may suspend or terminate a Vendor account immediately if:
- These Terms and Conditions are breached.
- The Vendor provides false information.
- Products fail to meet quality standards.
- Products are determined to be mass-produced or otherwise prohibited.
- Customer complaints indicate unacceptable conduct or performance.
Upon termination, existing obligations relating to completed orders shall remain in force.
15. Amendments
The Marketplace reserves the right to amend these Terms and Conditions at any time.
Updated terms will be published on the Marketplace website and shall become effective upon publication unless otherwise stated.
Continued use of the Marketplace constitutes acceptance of any revised Terms and Conditions.
16. Governing Law
These Terms and Conditions shall be governed by and interpreted in accordance with the laws of the Republic of South Africa.
Any disputes arising from this Agreement shall be subject to the jurisdiction of the South African courts.

18. Exclusivity Not Required

The Marketplace claims no ownership of Vendor designs, product concepts, branding, customer relationships established outside the Marketplace, or intellectual property.
